General terms of sale

1.      PURPOSE

These Terms of Use (hereinafter (the "ToS") constitute a binding contract between you and Maison Crivelli with respect to our website, us.maisoncrivelli.com(the "Site") and your purchase of our products. When you access our Website and/or purchase products, you are bound by this ToS. If you disagree with any of the provisions of the ToS now or at any time hereafter, you are not authorized to access or use the Website, and you must leave the Website immediately. Maison Crivelli Inc  is a simplified joint-stock company with a sole partner, with its registered office located at 60 Broad Street suite 3502, C/O ORCOM US, New York New York 10004, United States.

Please note that our Website is for U.S. users only.

This Agreement can be modified at any time and without notice by MAISON CRIVELLI, but the applicable Agreement shall be those in force on the date of the Customer’s order.

You and MAISON CRIVELLI are sometimes hereinafter referred to individually as a "Party" or collectively as the "Parties." 

2. PRODUCT CHARACTERISTICS

The products we offer for sale are “eau de parfum” products available in the 100 ml, 30 ml, or sample gift boxes, “extraits de parfum” products available in the 100 ml, 50 ml, 5 ml, 5 ml gift boxes, 3 x 50 ml gift boxes or sample gift boxes, and scented candles available in 190 g format.

The main characteristics of the Products and, in particular, the specifications, illustrations and indications of dimensions or capacity of the Products, are presented on the Website. However, owing to the particularities of internet browsers and depending on the monitor or screen used, color variations may exist between the product photos on the Website and the products delivered to the Customer. These visual differences do not affect our products or their essential characteristics, and MAISON CRIVELLI cannot be held liable for such visual differences.

3. ACCOUNT CREATION

If you wish to purchase goods advertised and sold on the Website, you are required to register by providing us with certain personal information (hereinafter “Registration Information”), including but not limited to your full name, address, telephone number and credit card information, in order allow us to identify, ship products to you, and contact you. With respect to Registration Information provided by you, you warrant, represent, acknowledge and agree that (a) it is accurate and true and you shall keep it updated in all respects so that it remains accurate and true at all times; (b) Maison Crivelli may use your Registration Information for processing your orders and payments, for delivering your purchases, and for such other purposes as are specifically set forth in and consistent with Maison Crivelli’s Privacy Policy; and (c) any failure by you to maintain true and accurate Registration Information may affect the payment and delivery of the goods offered on the Website and may result in suspension or termination of your registration. Your login and password are personal and confidential, and it is your responsibility to keep your password secret. You are liable for all consequences arising from the use of your account unless such consequences are caused by Maison Crivelli.

4. PRODUCT AVAILABILITY

Our product offers are valid as long as they are visible on the Website, but in circumstances beyond our control they may be unavailable at the time they are ordered. If this occurs, we will inform you and refund your payment as quickly as possible. We will, of course, endeavor to keep our product offerings up-to-date, and to inform you of any problems at the time you place your order.

MAISON CRIVELLI is not obligated to sell our products to professionals, but only to consumers or non-professionals, for their personal needs. We therefore reserve the right to refuse orders that contain 5 or more identical items.

5. PRICES

Prices displayed on the Website are in dollars, excluding taxes, shipping, and any applicable discounts, all of which will be indicated in your shopping cart prior to placing your order. MAISON CRIVELLI reserves the right to modify Product prices at any time, without such modification affecting a pre-confirmed order.

6. PAYMENT

The total amount of the order must be paid in full when your order is placed. Payment is handled by Shopify. Details of your payment method are protected and encrypted by Shopify. We reserve the right to cancel any order if we or our service provider believe the information provided by you is inaccurate or fraudulent.

7. DELIVERY

We currently only offer shipping to addresses within the US (including Alaska and Hawaii). Customs fees, processing fees, taxes, and duties are provided to you upfront within the checkout process and presented in the final amount of your order - these costs will be paid for at checkout.

Please allow up to 2-3 business days for your order to be processed before shipment. Note, 2nd day express shipping methods account for transit time only, not including the order processing period. Standard Shipping for non-continental U.S orders (i.e. Alaska, and Hawaii) can take up to 4 weeks.

Please note we do not ship to PO Boxes for orders over $150.00, as signature is required.

Shipping fees are non-refundable.

MAISON CRIVELLI is not responsible for delivery delays due to reasons outside of our control, such as carrier delays, severe weather, natural disasters, or strikes. We ship all orders the same day that we provide your tracking information via email. Once a package leaves our warehouse, we no longer control how your order is handled or where it is sent.

In the event of a package presenting any defects (e.g., product that is missing from your order, or is defective or damaged in any way), you must, on the day you received your delivery, advise the carrier, and inform MAISON CRIVELLI at customerservice@maisoncrivelli.us. Be sure to include any documentation that came with your order and a photograph of the damage.

Once we have verified and confirmed the defect or damage, you will be refunded the amount of your order (including taxes and shipping). The refund will be made using the same payment method used by the Customer for the initial transaction.

Orders will always be refused if the delivery address provided at the time of purchase corresponds to:

a post office box;

a non-fixed address or residence (such as mobile homes, caravans, campsites, or any other non-permanent locations that do not allow for secure hand-to-hand delivery);

or a collective location where an individual address cannot be clearly and permanently assigned to a specific person or legal entity.

Maison Crivelli reserves the right to cancel any order that does not comply with these rules.

It is the Customer’s responsibility to check the compliance of the delivery with respect to their order and to report any error without delay. The Customer is also required to check the condition of the Products delivered.

The customer may refuse delivery of a damaged parcel.

The Customer must carefully check the external condition of the parcel and the products upon delivery, and verify that the products received correspond to their order. Any issue related to the delivery (damaged parcels, missing or defective products, delivery delays, etc.) must be noted on the delivery receipt presented by the carrier at the time of delivery. The Customer must also report this issue to Customer Service at customerservice@maisoncrivelli.us.

If the Customer reports a missing product, a delivery delay, or a parcel that was not received or was damaged, an investigation will be opened with the carrier. Certain documents and information will be required by our Customer Service team in order to initiate a claim with the carrier based on legal grounds.

Maison Crivelli reserves the right to refuse any claim that lacks sufficient proof to initiate a legal procedure with the carrier.

If, at the end of the investigation, the order is found, it will be reshipped to the delivery address indicated on the order form. However, if the order cannot be located and is declared lost, a full refund of the amount paid will be issued to the original payment method, in accordance with the outcome of the investigation.

Nevertheless, if proof of delivery is provided, Customer Service reserves the right to refuse any refund and to report any attempted fraud.

More generally, in the event of a delivery delay exceeding thirty (30) days, the Customer must notify Customer Service and may terminate the contract in accordance with Article L.216-6 of the French Consumer Code. In this case, Maison Crivelli will refund the Customer the full amount paid no later than fourteen (14) days following the date on which the contract was terminated.

Any anomaly (missing, damaged, or non-conforming product) must be reported within 48 hours of receipt, accompanied by clear photographs (product, packaging, label, batch number). After this period, the order will be considered compliant.

In the event of a package presenting any defects (missing product compared to the order form, damaged or open parcel, etc.), it is the Customer’s responsibility to advise in writing the carrier and MAISON CRIVELLI (contact our customer service at customerservice@maisoncrivelli.us on the delivery day of the parcel, with the corresponding supporting documents (photographs in particular).

The Customer must return the Product(s) concerned by following the product return procedure described in Article 10.2.

Once MAISON CRIVELLI has verified and confirmed the defect, the Customer will be refunded the amount of their order (price of products and shipping, transport and delivery costs referred to in Article 5, paragraph 3 of these GTC). The refund will be made using the same payment method used by the Customer for the initial transaction.

MAISON CRIVELLI shall not be held liable for any consequences occurring due to a late delivery for which it is not responsible.

8. RETURNS AND EXCHANGES

Maison Crivelli will accept returns and exchanges of full-price Products within 14 days after your order has been delivered. We do not accept returns or exchanges of Products purchased on sale. To start a return, contact us at customerservice@maisoncrivelli.us., providing us with your order number, stating your desire to return or exchange which items you wish to return or exchange.

All returns will incur a $15 processing & handling fee that will be deducted from the amount of your refund back to your original form of payment.

You must return your order in the same condition as it was received by you. Products must be returned in their original packaging unsealed with the protective plastic film intact. The Products cannot have been sampled and must be in brand new condition, unopened, unused, unspoiled, clean and untested. To ensure the maximum protection of items, Products must be repositioned in the original package, resistant to different methods of transport. Expenses for return shipping are solely your responsibility.

For hygiene and safety reasons, opened or tested fragrance products are not eligible for a refund, except in the case of a proven and reported defect.

MAISON CRIVELLI reserves the right to refuse the return if the returned Product is unfit for its release on the market in new condition.

The refund can only be issued to the card used for payment of the order.

Please kindly contact our customer service at customerservice@maisoncrivelli.us to initiate your return.

Should your return align with the specified Return Conditions below, kindly generate your own shipping label and dispatch the item to the following address: 291 S Van Brunt Street, Englewood, NJ 07631, USA.

The refund can only be processed after the products have been received and are in the condition in which they were sold: new, unused, unopened, and in their original packaging.

Once the product has been returned, the processing time for the return may take up to 5 business days.

8.1. Complaints and Quality Issues

For any claim regarding a product purchased on Maisoncrivelli.com, our customer service team remains fully at your disposal to assist you.

For products purchased through one of our authorized retailers or in-store, we kindly invite you to contact the point of sale directly, as they will be able to provide you with the appropriate assistance in accordance with their terms and conditions of sale.

Maison Crivelli pays close attention to the quality of its creations, with each product undergoing strict quality checks before shipment.

Any complaint regarding a perceived quality issue with a product must be submitted within 7 business days following receipt of the product.

For complaints submitted more than 12 months after purchase, Maison Crivelli reserves the right to refuse any claim, except in exceptional, duly justified cases.

As our products are formulated without harsh preservatives, they must be stored away from heat, light, and humidity. Maison Crivelli cannot be held responsible for any deterioration caused by improper storage conditions or non-compliant use (e.g., spraying on clothing, exposure to extreme temperatures…).

Any complaint regarding a quality defect (abnormal variation in scent, color, texture, or technical issue with a spray mechanism) must be submitted to Customer Service customerservice@maisoncrivelli.us along with the following details:

Clear photographs of the product from different angles,

The batch number indicated on the bottle and/or packaging,

A precise description of the observed defect.

After this period, or in the absence of sufficient proof, no complaint can be accepted.

We remind you that perfumes should be used exclusively on the skin, and any damage resulting from non-compliant use (on clothing, exposure to heat, improper storage) cannot engage the responsibility of Maison Crivelli.

 

9. INTELLECTUAL PROPERTY

The content on this Website (including product listings, descriptions, images, videos, text, graphics, logos, button icons, images, digital downloads, data compilations and software etc.) (collectiely, "Content") is for your personal use and you may not copy, reproduce, republish, distribute, display, transmit, sell or otherwise use or exploit any of the Content except with prior written permission from MAISON CRIVELLI. Without limiting the generality of the foregoing, you may not (a) create derivative works from the Website or the Content, (b) use any network monitoring or discovery software to determine the site architecture, or extract information about usage or users; or (c) use any robot, spider, other automatic device or manual process to monitor or copy the Website or the Content without MAISON CRIVELLI’S prior written permission. The Website is not meant for use by persons under the age of 18 and we will not knowingly collect any personal information from persons under the age of 18 without verified parental consent.

Trademark Notice. MAISON CRIVELLI and other marks used on the Website, whether or not they appear with the symbols ® or ™, are trademarks and/or service marks of MAISON CRIVELLI and may be registered in the United States or in other jurisdictions including internationally. MAISON CRIVELLI’s trademarks, service marks, and trade dress may not be used in connection with any product or service (i) that is not authorized by MAISON CRIVELLI in writing; (ii) in any manner that is likely to cause confusion among customers that the source of such product or service is, or is in any way associated with, MAISON CRIVELLI; or (iii) in any manner that disparages or discredits MAISON CRIVELLI. Any trademark not owned by MAISON CRIVELLI that appears on the Website is the property of its owners who may or may not be affiliated with, connected to, or sponsored by MAISON CRIVELLI.

Copyright Notice. All Content, including without limitation text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations and software, is the property of MAISON CRIVELLI or its Content suppliers and is protected by United States and international copyright laws. The compilation of Content on the Website is the exclusive property of MAISON CRIVELLI and protected by U.S. and international copyright laws. By using the Website you are acknowledging that the trademarks, service marks, trade dress and Content on the Website or otherwise belonging to MAISON CRIVELLI are and shall remain, except where owned by a third party, the sole and exclusive property of MAISON CRIVELLI. Nothing in the ToS or on the Website shall be construed as conferring any license or right, whether by implication, estoppel or otherwise, to use any of MAISON CRIVELLI’s trademarks, service marks, trade dress or Content.

10. PERSONAL DATA

You are hereby advised and agree that we may collect your personal data (including but not limited to your first and last name, billing and shipping address, phone number, email address, and payment method information) as a "data controller" as that term is understood under various state laws, including the California Consumer Privacy Act (CCPA). We will retain that information indefinitely, indefinitely, subject to any legal rights you may have with respect to that data. Please refer to our Privacy Policy regarding those rights.

11. FORCE MAJEURE

MAISON CRIVELLI shall not be held to be in default under this ToS nor be liable for failure to observe or perform any provision hereof (a) for any reason or cause which we could not, with reasonable diligence, control or prevent, including without limitation, acts of nature, terrorism, acts of government, war, civil commotion, strikes, lock-outs, labor or industrial disputes, power shortages or power failures, inability to obtain sufficient labor, raw materials, fuel or utilities, technical problems, or communication failures, or (2) due to any delays, non-deliveries, mis-deliveries or service interruptions caused by any third party.

12. GENERAL PROVISIONS

MAISON CRIVELLI reserves the right to change, revise or modify at any time this ToS, our Privacy Policy, or any other term or condition on our Website by posting the changed, revised, or modified term on the Website. Therefore, please be sure to check the date of this ToS, the Privacy Policy, and any other terms or conditions each time you visit to ensure that you are aware of the most current versions. All such changes, revisions, and modifications shall be effective immediately upon posting and your continued use on the Website shall be deemed full acceptance of all such changes. Failing your full acceptance, your sole and exclusive remedy shall be to cease using the Website.

If there is a conflict between any oral or written representation made by any of MAISON CRIVELLI’s employees, representatives, agents, or vendors and any provision of this ToS, the ToS shall prevail. Except where specifically provided, the ToS shall prevail over any conflict or inconsistency with the Privacy Policy and any other information provided on the Website.

No waiver by you or us of any provision of this Agreement or of any default under any provision shall affect your our respective rights thereafter to enforce such provision or to exercise any right or remedy in the event of any other default, whether or not similar.

If any provision of this ToS shall be held void, voidable, invalid or inoperative, no other provision of this ToS shall be affected as a result thereof, and, accordingly, the remaining provisions of this ToS shall remain in full force and effect as though such void, voidable, invalid or inoperative provision had not been contained herein.

13. DISPUTE RESOLUTION

PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS AN AGREEMENT REGARDING THE RESOLUTION OF CLAIMS BEFORE YOU CAN FILE A LAWSUIT AGAINST US IN COURT.

Initiation of Claim. If you believe you have a claim against us of any kind (including but not limited to claims for injunctive relief, damages, or attorneys’ fees under the Americans with Disabilities Act, or any other statute, rules or regulations, whether federal, state, county, or municipal, then you must, prior to filing a claim against us in a court of law, email us at customerservice@maisoncrivelli.us or by mail at 291 S Van Brunt Street, Englewood, NJ 07631, USA, and present your dispute or claim to allow us the opportunity to resolve it. Similarly, if we believe we have a dispute with or claim against you,, one of our customer service representatives will first contact you in an attempt to resolve the dispute or claim.

Notice of Claim. If we cannot resolve the dispute or claim within ten (10) business days, and either you or we thereafter intend to file a lawsuit, the party wishing to file suit must send a written notice of the claim (“Notice”) to the other party as further described below. Your Notice to us must be delivered by certified or priority mail and addressed to: 291 S Van Brunt Street, Englewood, NJ 07631, USA. Our Notice to you will be sent to the email address or physical address you have previously provided to us. All Notices, whether sent by you or by us, must (a) describe in detail all material aspects of the claim; (b) any statutes under which the claim purports to arise; (c) any other basis for the claim; and (b) set forth the specific relief sought. In addition, if your alleged complaint relates to the functionality or accessibility of the Website, you must store, and provide to us upon request, the log and event data evidencing your access to the Website so that we may verify your device environment and other details related to the complained of issues.

Following the Notice you or we (as applicable) shall have 30 days within which to resolve the dispute. Failing that, a lawsuit may be filed. However, if the subject matter of your claim is accessibility of our Website, our full remediation within 30 days of the specific accessibility issues identified in your Notice shall be deemed to be a complete resolution of your dispute, even if your claims involved a request for injunctive, declaratory, class action, or any future relief.

Enforceability. In the event a court of competent jurisdiction finds any of these Terms of Use unenforceable, that provision shall not be effective and the remainder of these Terms of Use shall remain binding on you and us.

Waiver. No waiver, express or implied, by either you or us of any breach of or default under these Terms of Use shall constitute a continuing waiver of such breach or default or be deemed to be a waiver of any preceding or subsequent breach or default.

Governing Law and Rules. These Terms of Use and any dispute or controversy arising out of or related to the Terms of Use (including any ancillary terms linked herein) and/or the relationship between the Parties established herein (“Claims”) shall be governed by and construed, interpreted, and resolved in accordance with the laws of the State of New York without regard to its choice of law provisions; provided, however, that any procedural or substantive Claim conflicting with or falling under the exclusive jurisdiction of United States federal law shall be governed by, and construed, interpreted, and resolved in accordance with United States federal law without regard to its choice of law provisions. All Claims shall be submitted exclusively to the federal and state courts of competent jurisdiction serving the City, County, and State of New York, and you and we hereby unconditionally and irrevocably consent and submit to such exclusive jurisdiction and venue, and waive any objection they may now or hereafter have with respect thereto. Notwithstanding the Dispute Resolution procedures described above and the foregoing exclusive jurisdiction and venue, we shall have the right to bring an action in any court of competent jurisdiction to enjoin infringement or other misuse of our intellectual property.

Special Terms for Users in Certain Jurisdictions

The following terms apply to users who are residents of or are located in certain jurisdictions:
